Welcome to Koda MKT LLC (“we,” “our,” “Koda”, “Koda Marketing” or “us”). By using our services (“Services”), you (“Client” or “you”) agree to comply with and be bound by these Terms of Service (“Terms”). Please read them carefully.

1. Services Provided

1.1. We provide video editing, post-production, and related services as specifically described in the invoice paid by the Client. The services, deliverables, turnaround expectations, and included hours or quantities are limited to what is outlined on that invoice. 1.2. Any services, revisions, deliverables, or modifications not expressly included in the paid invoice are considered out of scope and may require additional fees. Such work will only be performed after written approval by the Client. 1.3. Payment of an invoice constitutes the Client’s agreement to these Terms of Service and confirms acceptance of the scope of services as described on the invoice.

2. Client Responsibilities

2.1. You agree to provide all required materials (e.g., raw footage, assets, and scripts) in the agreed-upon formats. 2.2. You confirm that you own or have the necessary permissions for all materials provided. 2.3. Timely feedback and approvals are essential to meet project deadlines.

3. Ownership and Licensing

3.1. Final edited videos become your property upon full payment. 3.2. We retain the right to use completed projects in our portfolio, marketing, or promotional materials unless otherwise agreed in writing. 3.3. You grant us a non-exclusive, royalty-free license to use materials provided solely for the purpose of completing your project.

4. Turnaround Times

4.1. Project timelines will be agreed upon before work begins. 4.2. Delays caused by late delivery of materials or feedback from the Client may result in revised deadlines. 4.3. Rush services may be available at an additional cost.

5. Revisions

5.1. You will have access to unlimited revisions, with the understanding that revisions will take time from your plan. 5.2. Revision requests must be submitted within [5] days of delivery. 5.3. Revisions will only be received via Frame.io any other method might not be considered as a review request.

6. Payments and Refunds

6.1. You will be invoiced on the 15th of each month, which will lock in our services until the 15th of the following month. 6.2. All sales are final. Refunds are not available once work has commenced, regardless of whether the client has utilized their full hours or is unsatisfied with the creative output. Dissatisfaction with the style or direction of delivered work does not constitute grounds for a refund, as all plans include unlimited revisions according to the hours purchased. Revision work is conducted within the scope of the weekly hours included in the client's active plan. 6.3. In the event of dissatisfaction with any deliverable, clients are entitled to request revisions until the work meets the scope originally agreed upon at the time of purchase. Revisions are executed within the weekly hours included in the client's active plan, meaning revision cycles may extend across multiple weeks depending on the complexity of the request and hours available. Revision requests must be submitted through the designated communication channel. 6.4. Hours not utilized within a given week are non-transferable and non-refundable. It is the client's responsibility to submit footage, assets, and materials within the weekly cycle to ensure their hours are used. Koda is not liable for unused hours resulting from delays or failure to submit materials on the client's part. 6.5. Late payments may incur additional fees.

7. Confidentiality

7.1. Both parties agree to keep all confidential information shared during the project private and secure. 7.2. We may sign a Non-Disclosure Agreement (NDA) upon request.

8. Liability

8.1. We are not liable for delays caused by circumstances beyond our control, such as technical issues or natural disasters. 8.2. We are not responsible for any delays caused by the client, including but not limited to late revisions, untimely submission of materials, or provision of incomplete or broken files. 8.3. We are not responsible for copyright infringements related to materials provided by the Client. 8.4. Maximum liability for any claim is limited to the amount paid for the Services.

9. Termination

9.1. Either party may terminate the agreement with 30 days’ written notice via email. 9.2. In the event of termination, all completed work must be paid for, and deposits are non-refundable.

10. Amendments

10.1. We reserve the right to modify these Terms at any time. Changes will be effective upon posting on our website or notification to you.

11. Entire Agreement

11.1. These Terms, along with any project-specific agreements or Statements of Work, constitute the entire agreement between you and us.
